This End User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and BuildIQ LLC, an Ohio limited liability company (“Build IQ,” “we,” “us,” or “our”), governing your use of the Build IQ software platform, including all associated web-based tools, features, and services (collectively, the “Service”) accessible at usebuildiq.com.
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Service.
Build IQ is a web-based business management platform designed for interior remodeling and home improvement contractors. The Service includes tools for lead intake, quoting, contract creation, project management, scheduling, order management, time tracking, and optional integration with third-party accounting software including QuickBooks Online (“QBO”), a product of Intuit Inc.
Subject to the terms of this Agreement, Build IQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations. This license does not include the right to sublicense, resell, or otherwise make the Service available to third parties.
Access to the Service requires a user account. You agree to provide accurate, current, and complete information when creating an account and to keep your credentials confidential. You are responsible for all activity that occurs under your account. You agree to notify Build IQ immediately of any unauthorized use of your account.
You agree to use the Service only for lawful purposes and in accordance with this Agreement. You agree not to:
The Service offers optional integration with QuickBooks Online via Intuit’s OAuth 2.0 API. By connecting your QBO account, you authorize Build IQ to access and transmit data between the Service and your QuickBooks account on your behalf, including customer records, invoices, and payment information. This integration is governed by Intuit’s own terms of service and privacy policy. Build IQ is not affiliated with or endorsed by Intuit Inc. You may disconnect this integration at any time through the Service’s settings.
Build IQ collects and processes business data you enter into the Service, including customer contact information, job details, contract documents, and financial records. This data is used solely to provide and improve the Service. Build IQ does not sell your data to third parties. Data is stored on secured servers and reasonable administrative, technical, and physical safeguards are maintained to protect against unauthorized access or disclosure. The Service and all content, features, and functionality (including software, text, graphics, logos, and designs) are owned by BuildIQ LLC and are protected by applicable copyright, trademark, and other intellectual property laws. Nothing in this Agreement transfers any intellectual property rights to you. Feedback or suggestions you provide regarding the Service may be used by Build IQ without obligation to you.
The Service may integrate with or link to third-party services (including QuickBooks Online, Google Calendar, and email providers). Build IQ is not responsible for the content, privacy practices, or terms of those third-party services. Your use of any third-party service is subject to that service’s own terms and policies.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. BUILD IQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BUILD IQ DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDIQ LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BUILD IQ’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Build IQ may suspend or terminate your access to the Service at any time, with or without cause, upon notice. You may discontinue use of the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections 7, 9, 10, and 13 of this Agreement survive termination.
Build IQ reserves the right to modify this Agreement at any time. We will provide notice of material changes by updating the “Last Updated” date above and, where appropriate, by notifying you via email or through the Service. Continued use of the Service after such changes constitutes your acceptance of the revised Agreement.
This Agreement is governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Service shall be resolved exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of such courts.
